Infinity Capital Investments S.A. informs the shareholders and investors that it has purchased, directly and indirectly, a number of 3,965,073 shares representing 20.50% of the share capital of PAID S.A., in the framework of public auctions held pursuant to Law no. 85/2014 on insolvency prevention and insolvency procedures.
The 3,965,073 shares were acquired as follows
· 2,901,273 shares representing 15% of the share capital of PAID S.A. by Infinity Capital Investments S.A., the total amount paid being 18,689,063 lei;
· 1,063,800 shares representing 5.50% of the share capital of PAID S.A. by the subsidiary Gravity Capital Investments S.A. (in which Infinity Capital Investments S.A. owns 99.99% of the share capital), the total amount paid being 7,534,476.90 lei. The funds necessary for the payment of these shares came as a result of the increase in the share capital of Gravity Capital Investments S.A., through a cash contribution, within which Infinity Capital Investments S.A. subscribed a number of 880,000 shares, totaling 8,800,000 lei.
The exercise of specific shareholder rights will be carried out after the approval by the Financial Supervisory Authority of the quality of significant shareholder and the related acquisition project.
