Evenimente importante de raportat: Solicitare de completare a ordinii de zi a Adunarii Generale Extraordinare a Actionarilor Societatii convocata pentru data de 9/10 octombrie 2023

Conducerea One United Properties S.A. (denumita in continuare „Societatea”) informeaza piata cu privire la faptul ca OA Liviu Holding Invest, in calitate de actionar detinand 1.005.749.043 actiuni reprezentand 26,4834% din capitalul social subscris al Societatii, a solicitat adaugarea unor noi puncte pe ordinea de zi a Adunarii Generale Extraordinare a Actionarilor Societatii convocata pentru data de 9/10 octombrie 2023 („AGEA”).

Cererea de completare a convocatorului este atasata la prezentul raport curent.

Convocatorul completat va fi publicat de catre Consiliul de Administratie al Societatii inainte de data de referinta AGEA (27 septembrie 2023) in conformitate cu prevederile aplicabile.

WHEREAS:

AVAND IN VEDERE CA:

(A)       The board of directors of the Company (the Board of Directors) has convened the ordinary general meeting (the “OGMS”) and the extraordinary general meeting (the “EGMS”) of the Company’s Shareholders for 9 October 2023, 10:00 a.m. and 10:30 a.m. respectively (first convening), and for 10 October 2023, 10:00 a.m. and 10:30 a.m. respectively (second convening), at One Tower, 17th floor, 165 Calea Floreasca, 1st District, Bucharest, Romania.

(A)       Consiliul de administratie al Societatii (“Consiliul de Administratie”) a convocat adunarea generala ordinara („AGOA”) si adunarea generala extraordinara („AGEA”) a actionarilor Societatii pentru data de 9 octombrie 2023, ora 10.00, respectiv ora 10.30 (prima convocare), respectiv la data de 10 octombrie 2023, ora 10.00, respectiv ora 10.30 (a doua convocare) la One Tower, et. 17, Calea Floreasca nr. 165, Sector 1, Bucuresti, Romania.

(B)       In accordance with the provisions of art. 1171 (1) of Law no. 31/1990 on companies, as republished and subsequently amended, art. 105 para. (3) of Law no. 24/2017 on issuers of financial instruments and market operations, as subsequently amended and supplemented, and of art. 7 para. (5) of the Company's articles of association, one or more shareholders holding, individually or together, at least 5% of the share capital of the Company may request additional points to be introduced on the agenda of general meetings of shareholders.

(B)       In conformitate cu dispozitiile art. 1171 alin. (1) din Legea nr. 31/1990 societatilor republicata, cu completarile si modificarile ulterioare, ale art. 105 alin. (3) din Legea nr. 24/2017 privind emitentii de instrumente financiare si operatiuni de piata, cu modificarile si completarile ulterioare si ale art. 7 alin. (5) din actul constitutiv al Societatii, unul sau mai multi actionari care detin, individual sau impreuna, cel putin 5% din capitalul social pot solicita introducerea unor puncte suplimentare pe ordinea de zi a adunarilor generale ale actionarilor.

(C)       Upon analysing the items included on the agenda of the OGMS and the EGMS, as provided in the convening notice, the undersigned consider necessary, useful or desirable to supplement the EGMS agenda with additional items, as reflected below,

(C)       Ulterior analizei prevederilor punctelor inscrise pe ordinea de zi a AGOA si AGEA, astfel cum sunt prezentate in convocator,  subscrisa considera necesar, util sau oportun suplimentarea ordinii de zi AGEA cu puncte aditionale, dupa cum este redat mai jos;

THEREFORE,

IN CELE CE URMEAZA,

The undersigned hereby request supplementing the agenda of the EGMS with the following new items, which are at the same time draft resolutions proposed for adoption:

Subscrisa solicita prin prezenta completarea ordinii de zi a AGEA cu urmatoarele puncte, reprezentand totodata proiecte de hotarare propuse spre adoptare:

Item 4:

Punctul 4:

“Approval of contracting by the subsidiary ONE PROIECT 15 S.R.L., a legal entity of Romanian nationality, with registered office in Bucharest, Sector 1, Maxim Gorki Street no. 20, registered with the Trade Register Office of the Bucharest Court of Justice under number J40/13376/2022, (EUID) ROONRC J40/13376/2022, with unique registration code 46463119 (“One Proiect 15”), from a financing bank or a consortium of financing banks a credit facility of up to EUR 30,500,000 for the purpose of financing/ refinancing in part of the costs related to the One Gallery Project and a VAT credit facility of up to EUR 4,600,000 (or RON equivalent) for the purpose of financing/ refinancing the VAT recoverable related to the One Gallery Project (“One Gallery Facilities”), under the following terms and conditions:

 

a)     For the purpose of securing the One Gallery Facilities, the Company may provide in favor of  the financing bank the consortium of financing banks the following guarantees:

 

  • movable mortgage on all present and future shares held by the Company in the share capital of One Proiect 15, as well as on all rights and accessories attached thereto;
  • a guarantee by which the Company will secure to the finance parties during the development period of One Gallery Project: (i) the performance of the obligation of One Proiect 15 to fund any cost overrun of the original budget envisaged; (ii) the  performance of the obligation of One Proiect 15 to provide an equity contribution excess in the amount of EUR 3,000,000 for the completion of One Gallery Project; and (iii) the  performance of the obligation of One Proiect 15 for the completion of One Gallery Project  within the estimated timetable; and
  • a payment guarantee of any amounts owed by One Proiect 15 to the finance parties and unpaid on the due date under the finance documents (including any cost overrun of the original budget envisaged, the equity contribution in the amount of EUR 3,000,000 for the completion of One Gallery Project, as well as all necessary funds for the completion of One Gallery Project within the estimated timetable). 

 

b)    In the context of entering into the One Gallery Facilities, the Company may enter into a subordination agreement for all receivables resulting from loans granted by the Company to One Proiect 15 and all dividends owed by One Proiect 15 to the Company."

„Aprobarea contractarii de catre subsidiara ONE PROIECT 15 S.R.L., persoana juridica de nationalitate romana, cu sediul social in Bucuresti, Sector 1, Str. Maxim Gorki nr. 20, inmatriculata la Oficiul Registrului Comertului de pe langa Tribunalul Bucuresti sub nr J40/13376/2022, (EUID) ROONRC J40/13376/2022, avand cod unic de inregistrare 46463119 (One Proiect 15), de la o banca finantatoare/un consortiu de banci finantatoare a unei facilitati de credit in cuantum de pana la 30.500.000 EUR in scopul finantarii/refinantarii partiale a costurilor aferente proiectului One Gallery si a unei facilitati de credit de TVA in cuantum de pana la 4.600.000 EUR (sau echivalentul in RON) pentru finantarea/refinantarea TVA-ului de recuperat aferent proiectului One Gallery (Facilitatile One Gallery), in urmatorii termeni si conditii:

a)     In scopul garantarii  Facilitatilor One Gallery, Societatea va putea constitui in favoarea  bancii finantatoare/consortiului de banci finantatoare urmatoarele garantii:

  • ipoteca mobiliara asupra tuturor partilor sociale prezente si viitoare detinute de Societate in capitalul social al One Proiect 15, precum si asupra tuturor drepturilor si accesoriilor atasate acestora;
  • garantie prin care Societatea va garanta institutiilor finantatoare pe perioada de dezvoltare a proiectului One Gallery: (i)  executarea obligatiei One Proiect 15 de a asigura fonduri pentru orice depasire a costurilor bugetului initial avut in vedere; (ii) executarea obligatiei One Proiect 15 de a asigura un surplus de contributie de capital in cuantum de 3.000.000 EUR pentru finalizarea proiectului One Gallery, precum si (iii) executarea obligatiei One Proiect 15 de finalizare a proiectul One Gallery cu respectarea calendarului estimat; si
  • o garantie de plata a oricaror sume datorate de One Proiect 15 institutiilor finantatoare si neplatite la scadenta, rezultate din documentele de finantare (inclusiv a oricaror depasiri ale costurilor bugetului initial avut in vedere, a contributiei de capital in cuantum de 3.000.000 EUR pentru finalizarea proiectului One Gallery, precum si a oricaror fonduri necesare  pentru finalizarea proiectului One Gallery cu respectarea calendarului estimat).

b)    In contextul contractarii Facilitatilor One Gallery, Societatea va putea incheia un  contract de subordonare a tuturor creantelor rezultand din creditele acordate One Proiect 15 de catre Societate, precum si a tuturor dividendelor datorate de catre One Proiect 15 Societatii.”

“Approval of contracting by the subsidiary ONE HIGH DISTRICT S.R.L., a legal entity of Romanian nationality, with registered office in Bucharest, Sector 1, Maxim Gorki Street no. 20, registered at the Trade Registry Office of the Bucharest Court under no. J40/8190/2021, (EUID) ROONRC. J40/8190/2021, with unique registration code RO44235874 (“One High District”) from a financing bank or a consortium of financing banks for a credit facility in the amount of up to EUR 30,000,000 for the financing of One High District project costs and a VAT credit facility in the amount of up to EUR 6,000,000 (or RON equivalent) for the purpose of financing/refinancing VAT related to One High District project costs (“One High District Facilities”), under the following terms and conditions:

a)     For the purpose of securing the One High District Facilities, the Company may provide the following guarantees in favor of the financing bank or a consortium of financing banks:

·         movable mortgage over all present and future shares held by the Company in the share capital of One High District and all rights and appurtenances thereto;

·         a guarantee by which the Company will secure: (i) any additional cost necessary for the completion of the One High District project, which was not estimated in the initial budget agreed with the financing bank or a consortium of financing banks; and (ii) the completion of the One High District project within the estimated timetable; and

·         joint and several surety or corporate guarantee.

b)    In the context of entering into the One High District Facilities, the Company may enter into a subordination agreement with respect to all claims arising from loans granted by the Company to the One High District or any other commitment pursuant to which the Company would have to recover any claim from the One High District and all dividends owed by the One High District to the Company."

„Aprobarea contractarii de catre subsidiara ONE HIGH DISTRICT S.R.L., persoana juridica de nationalitate romana, cu sediul social in Bucuresti, Sector 1, Str. Maxim Gorki nr. 20, inmatriculata la Oficiul Registrului Comertului de pe langa Tribunalul Bucuresti sub nr. J40/8190/2021, (EUID) ROONRC. J40/8190/2021, avand cod unic de inregistrare RO44235874 (One High District) de la o banca finantatoare/un consortiu de banci finantatoare a unei facilitati de credit in cuantum de pana la 30.000.000 EUR pentru finantarea costurilor aferente proiectului One High District si a unei facilitati de credit pentru TVA in cuantum de pana la 6.000.000 EUR (sau echivalentul in RON) in scopul finantarii/refinantarii TVA aferent costurilor proiectului One High District (Facilitatile One High District), in urmatorii termeni si conditii:

a)     In scopul garantarii  Facilitatilor One High District, Societatea va putea constitui in favoarea  bancii finantatoare/consortiului de banci finantatoare urmatoarele garantii:

·         ipoteca mobiliara asupra tuturor partilor sociale prezente si viitoare detinute de Societate in capitalul social al One High District, precum si asupra tuturor drepturilor si accesoriilor acestora;

·         garantie prin care Societatea va garanta: (i) suportarea oricarui cost suplimentar necesar finalizarii proiectului One High District, care nu a fost estimat in bugetul initial agreat cu  banca finantatoare/consortiul de banci finantatoare; si (ii) finalizarea  proiectului One High District cu respectarea calendarului estimat; si

·         fideiusiune solidara sau garantie corporativa.

b)    In contextul contractarii Facilitatilor One High District, Societatea va putea incheia un  contract de subordonare a tuturor creantelor rezultand din creditele acordate One High District de catre Societate sau din orice alt angajament in temeiul caruia Societatea ar avea de recuperat vreo creanta de la One High District, precum si a tuturor dividendelor datorate de catre One High District Societatii.”

“Approval of contracting by the subsidiary ONE LAKE DISTRICT S.R.L.,  a legal entity of Romanian nationality, having its registered office in Bucharest, Sector 1, Maxim Gorki Street, no. 20, registered at the Trade Registry Office of the Bucharest Court under no. J40/16082/2017, (EUID) ROONRC.J40/16082/2017, with unique registration code 38236450 (“One Lake District”) from a financing bank or a consortium of financing banks of a credit facility in the amount of up to EUR 30,000,000 for the purpose of financing/refinancing the costs related to the One Lake District project (“One Lake District Facility”), under the following terms and conditions:

a) For the purpose of guaranteeing the One Lake District Facility, the Company may provide the following guarantees to the financing bank or a consortium of financing banks:

·         movable mortgage on all present and future shares held by the Company in the share capital of One Lake District and all rights and accessories attached thereto;

·         joint and several surety or corporate guarantee;

·         guarantee whereby the Company will secure: (i) any additional costs necessary for the completion of the One Lake District project, which were not estimated in the initial budget agreed with the financing bank or a consortium of financing banks; and (ii) to complete the One Lake District project  within the estimated timetable.

b) In the context of entering into One Lake District Facility, the Company will be able to sign the related documentation as joint and several co-obligor for the payment of all amounts due to  the financing bank or a consortium of financing banks; and

c) In the context of entering into the One Lake District Facilities, the Company may enter into a subordination agreement in respect of all claims arising out of the loans granted by the Company to the One Lake District and all dividends owed by the One Lake District to the Company.”

„Aprobarea contractarii de catre subsidiara ONE LAKE DISTRICT S.R.L.,  persoana juridica de nationalitate romana, cu sediul social in Bucuresti, Sectorul 1, Str. Maxim Gorki, nr. 20, inmatriculata la Oficiul Registrului Comertului de pe langa Tribunalul Bucuresti sub nr. J40/16082/2017, (EUID) ROONRC.J40/16082/2017, avand cod unic de inregistrare 38236450 (One Lake District)   de la o banca finantatoare/un consortiu de banci finantatoare a unei facilitati de credit in cuantum de pana la maximum 30.000.000 EUR in scopul finantarii/refinantarii costurilor aferente proiectului One Lake District (Facilitatea One Lake District), in urmatorii termeni si conditii:

a)     In scopul garantarii Facilitatii One Lake District, Societatea va putea constitui in favoarea  bancii finantatoare/consortiului de banci finantatoare urmatoarele garantii:

·      ipoteca mobiliara asupra tuturor partilor sociale prezente si viitoare detinute de Societate in capitalul social al One Lake District, precum si asupra tuturor drepturilor si accesoriilor atasate acestora;

·      fideiusiune solidara sau garantie corporativa;

·         garantie prin care Societatea va garanta: (i) suportarea oricarui cost suplimentar necesar finalizarii proiectului One Lake District, care nu a fost estimat in bugetul initial agreat cu banca finantatoare/consortiul de banci finantatoare; si (ii)  finalizarea  proiectului One Lake District cu respectarea calendarului estimat.

b)  In contextul contractarii Facilitatii One Lake District, Societatea va putea semna documentatia aferenta in calitate de codebitor solidar la plata tuturor sumelor datorate bancii finantatoare/consortiului de banci finantatoare; si

c)   In contextul contractarii Facilitatilor One Lake District, Societatea va putea incheia un  contract de subordonare a tuturor creantelor rezultand din creditele acordate One Lake District de catre Societate, precum si a tuturor dividendelor datorate de catre One Lake District Societatii.”

J40/8913/2021, (EUID) ROONRC. J40/8913/2021, with unique registration code 44312314 (One Lake Club”) from a financing bank or a consortium of financing banks for a credit facility in the amount of up to EUR 30,000,000 for the purpose of financing/financing the costs related to the One Lake Club project (“One Lake Club Facility”), under the following terms and conditions:

a) For the purpose of guaranteeing the One Lake Club Facility, the Company may provide the following guarantees in favour of the financing bank or a consortium of financing banks:

  • movable mortgage over all present and future shares held by the Company in the share capital of One Lake Club and all rights and accessories attached thereto;
  • joint and several surety or corporate guarantee;
  • guarantee by which the Company will secure: (i) any additional cost necessary for the completion of the One Lake Club Project which was not estimated in the initial budget agreed with  the financing bank or a consortium of financing banks  and (ii) the completion of the One Lake Club Project within the estimated timetable.

b) In the context of entering into the One Lake Club Facility, the Company may sign the related documentation as joint and several co-obligor for the payment of all amounts due to the financing bank or a consortium of financing banks; and

c) In the context of entering into the One Lake Club Facilities, the Company may enter into a subordination agreement in respect of all claims arising from the loans granted by the Company to One Lake Club and all dividends owed by One Lake Club to the Company."

a)   In scopul garantarii Facilitatii One Lake Club, Societatea va putea constitui in favoarea  bancii finantatoare/consortiului de banci finantatoare urmatoarele garantii:

  • ipoteca mobiliara asupra tuturor partilor sociale prezente si viitoare detinute de Societate in capitalul social al One Lake Club, precum si asupra tuturor drepturilor si accesoriilor atasate acestora;
  • fideiusiune solidara sau garantie corporativa;
  • garantie prin care Societatea va garanta: (i) suportarea oricarui cost suplimentar necesar finalizarii proiectului One Lake Club, care nu a fost estimat in bugetul initial agreat cu  banca finantatoare/consortiul de banci finantatoare; si (ii) finalizarea  proiectului One Lake Club cu respectarea calendarului estimat.

b)  In contextul contractarii Facilitatii One Lake Club, Societatea va putea semna documentatia aferenta in calitate de codebitor solidar la plata tuturor sumelor datorate  bancii finantatoare/consortiului de banci finantatoare; si

c)   In contextul contractarii Facilitatilor One Lake Club, Societatea va putea incheia un  contract de subordonare a tuturor creantelor rezultand din creditele acordate One Lake Club de catre Societate, precum si a tuturor dividendelor datorate de catre One Lake Club Societatii.”

Punctul 8

The approval of the empowerment of the executive members of the Board of Directors, with full and individual powers, with the right of sub-delegation, so that, in the name and on behalf of the Company, they may negotiate, sign, deliver or deliver the documentation relating to the facilities and guarantees approved pursuant to items 4 - 7 hereof and take or cause to be taken any and all actions that the executive members of the Board of Directors shall deem necessary, appropriate or advisable to carry out the intent and purposes of the foregoing resolutions, including, without limitation:

a. to negotiate, execute and deliver, in the name and on behalf of the Company, credit agreements, security agreements, subordination agreements or affidavits, and any other documents to be issued or executed by the Company to give effect to the resolutions in items 4 - 7 hereof and any correspondence to be executed and delivered pursuant to or in connection therewith, it being understood that the executive members of the Board of Directors are authorised and empowered to agree, on behalf of the Company, to any amendments, modifications or changes to be made thereto (if any, including changing the relevant credit institution which shall grant the facilities), any other contracts, documents or instruments to which the Company is a party or is intended to be a party, as they shall think fit, subject to the provisions of law and the Articles of Association;

b. to register any guarantees, loan agreements, movable share mortgage agreements, subordination agreements or affidavits (if required) and any other documents required to be issued or signed by the Company to give effect to the resolutions under items 4 - 7 above to which the Company is a party or is intended to be a party, if required, and to complete any and all formalities and take any other necessary steps, appropriate or advisable, to give full effect to the resolutions in paragraphs 4 to 7 above (including, without limitation, the registration to be made with the National Registry of Movable Publicity or the representation and signing of any necessary documents before the notary public or any other persons, institutions, authorities with competence in respect of registration in any public registers; and

c. to represent the Company at the general meeting of the shareholders of the subsidiaries referred to in the resolutions under items 4 - 7 above for the purpose of approving the facilities and guarantees approved thereunder.”

„Aprobarea imputernicirii membrilor executivi ai Consiliului de Administratie, cu puteri depline si individuale, cu dreptul de sub-delegare, astfel incat, in numele si pe seama Societatii, sa negocieze, sa semneze, sa predea sau sa livreze documentatia aferenta facilitatilor si garantiilor aprobate conform punctelor 4 – 7 din prezenta si sa ia sau sa determine sa se ia oricare si toate masurile pe care membrii executivi Consiliului de Administratie le vor considera necesare, corespunzatoare sau recomandabile pentru a indeplini intentia si scopurile hotararilor de mai sus, inclusiv, fara limitare:

a. sa negocieze, sa semneze si sa livreze, in numele si pe seama Societatii, contractele de credit, contractele de garantie, contractele sau declaratiile de subordonare, precum si orice alte documente ce trebuie emise sau semnate de Societate pentru a da eficienta hotararilor de la punctele 4 – 7 din prezenta si orice corespondenta care urmeaza a fi semnata si transmisa conform sau in legatura cu acestea, fiind inteles ca membrii executivi ai Consiliului de Administratie sunt autorizati si imputerniciti sa convina, in numele Societatii, asupra oricaror amendamente, modificari sau schimbari care urmeaza a fi aduse la acestea (daca va fi cazul, inclusiv inlocuirea institutii de credit care va acorda facilitatile), oricare alte contracte, documente sau instrumente la care Societatea este parte sau se intentioneaza sa fie parte, dupa cum vor considera corespunzator, cu respectarea prevederilor legale si ale Actului Constitutiv;

b. sa inregistreze orice garantii, contracte de credite, contracte de ipoteca mobiliara asupra partilor sociale, contracte sau declaratii de subordonare (daca este necesar),  precum si orice alte documente ce trebuie emise sau semnate de Societate pentru a da eficienta hotararilor de la punctele 4 - 7 de mai sus, la care Societatea este parte sau se intentioneaza sa fie parte, daca este necesar, si sa indeplineasca oricare si toate formalitatile si sa ia orice alte masuri necesare, corespunzatoare sau recomandabile, pentru a conferi efecte deplin hotararilor de la punctele 4 - 7 de mai sus (inclusiv, fara limitare la, inregistrarea care urmeaza a se face la Registru National de Publicitate Mobiliara sau reprezentarea si semnarea oricaror documente necesare in fata notarului public sau oricaror alte persoane, institutii, autoritati cu competente in privinta inregistrarii in orice registre publice; si

c. sa reprezinte Societatea la adunarea generala a asociatilor subsidiarelor la care se refera hotararile de la punctele 4 – 7 de mai sus in vederea aprobarii facilitatilor si garantiilor aprobate in temeiul acestora.

Pursuant to the insertion of items 4 - 7 as provided above, the current items 4 and 5 on the agenda shall be renumbered, becoming items 8 and 9 on the supplemented agenda.

Ca urmare a inserarii punctelor 4 - 7 astfel cum este prevazut mai sus, actualele puncte 4 si 5 de pe ordinea de zi vor fi renumerotate, devenind punctele 8 si 9 de pe ordinea de zi completata.
